BRIEF POSTING DESCRIPTION:

The E Z8 LEGAL & ADMIN/CORP SECRETARY Department of the E LEGAL & ADMIN/CORP SECRETARY Division at Hawaiian Electric Industries has 1 Management vacancy available. (Role: Non-Exempt)

JOB FUNCTION:

Serves as the key point of contact for Board of Directors – communicates plans to directors and responds to inquiries; ensures meeting materials are provided to directors in a timely manner; plans and implements logistics for Board and committee meetings (in-person and virtual), annual board retreat and annual meeting of shareholders.

 

ESSENTIAL FUNCTIONS:

  • Board & Corporate Governance Support.  Serves as key point of contact for Board of Directors support, logistics and information management. In close coordination with the CEO and General Counsel/Corporate Secretary, communicates plans to directors and responds to inquiries; manages board meeting logistics processes.
    • Works with and provides direction to vendor concerning the design and implementation of technological systems to improve efficiency of board processes and convenience for directors.
    • Plans and implements all board retreat logistics, with direction from CEO and General Counsel/Corporate Secretary.
    • Schedules, plans and coordinates the logistics for Board and committee meetings, with direction from CEO and General Counsel/Corporate Secretary.
    • Prepares agendas, drafts and distributes meeting notices and tracks meeting attendance.
    • Coordinates and organizes the flow of information to directors. Ensures directors receive materials in a timely manner to exercise fiduciary duties. Leads process to compile and distribute meeting binders, materials and presentations – including posting materials on board portal. Trains others (e.g., Legal & Admin/Corp Secretary Executive Secretary and CFO’s Executive Secretary) on use of portal. Responds to questions from executives and their teams regarding board materials and agenda policies/processes.
    • Maintains HEI and subsidiary Board and committee minutes and records (including electronic records), assuring that records are filed, protected and in compliance with HEI’s record retention policy and, where applicable, indexed, kept up-to-date and accessible. Assists in retrieving corporate documents. Develops procedures and office systems to achieve the foregoing.
    • Administers the payment of and maintains the records and budget of Directors and committee members’ fees, retainers and retirement payments.
    • Administers the payment of expense reimbursements to Directors for meeting expenses and maintains record of imputed income to directors.
    • Assists with HEI and subsidiary corporate governance document reviews and revisions.
    • Maintains stock records of subsidiary companies. Maintains the officer and director rosters and entity structure chart for HEI and its subsidiaries.
  • Proxy/Annual Meeting.  Drafts proxy and 10-K disclosures regarding directors, director compensation and board processes. Plans annual meeting of shareholders logistics -- coordinates and provides instructions to teams (security, facilities, registration and refreshments); provides instruction to and oversight of third-party audio visual vendor and internal IT personnel to ensure highest quality of audio and visual performance delivered on meeting day; trains teams in registration process.
  • Reporting and Compliance.
  • Manage annual Director & Officer (D&O) Questionnaire, Board and Committee Evaluations Process and Directors’ and CEOs’ Self- Evaluations Processes.
    • Assists with compilation and analysis of director immediate family member relationships against NYSE and SEC standards; drafts director independence report for NCGC and Board.
    • Maintains director and officer biographical information (including D&O and related party database) for compliance, external website, and other disclosure purposes.
    • Works with third-party vendor on design and implementation of additional questionnaires, evaluations and/or surveys.
  • Regulatory and Other Compliance.
    • Prepares draft responses for the annual FRB holding company exam and annual SOX review, compiles minutes for review by external and internal auditors, and provides support for other regulatory and compliance matters as needed.
  • Other.  Provides support on special projects and other assignments as needed by the Assistant General Counsel & Assistant Corporate Secretary, Associate General Counsel and EVP General Counsel, CAO & Corp Secretary.

BASIC QUALIFICATIONS:

Knowledge Requirements

  • Bachelor’s or Associate’s degree preferred.
  • Some accounting and legal background helpful.
  • Strong working knowledge of general office procedures and practices.
  • Working knowledge of budgeting and forecasting processes.
  • Working knowledge of personal computers and related software applications (e.g., spreadsheets, word processing, presentations,graphic applications, etc.)
  • Knowledge of NYSE and SEC requirements regarding director independence and other governance matters preferable.

Experience Requirements

  • Multiple (6-8) years combined experience in a general office setting. 
  • Several (3-5) years experience with PC based word processing, spreadsheet and presentation programs.
  • Several (3-5) years experience advising and interfacing with senior executives/board members. 

 

Other Requirements

  • Ability to respond quickly to requests outside of normal business hours given nature of Board support.

Hiring Range: The hiring range for the HEI - Corporate Governance Specialist - Oahu [Req ID 9231] position is $67,700.00 to $84,800.00. The person selected will be placed according to his/her skills and qualifications.
